Board of Directors Qualifications and Activities Policy

General Board Candidate Qualifications

According to the By-laws, every Director, regardless of slate, must:

1. Be an individual of 18 or more years of age; and

2. Not have been found incapable by a court in Canada or another country; and

3. Not have a current status of bankrupt; and

4. Agree in writing, in the form(s) required by the Directors from time-to-time, to consent to act as a Director and abide by the Articles, By-laws, Policies, and Resolutions of the Board; and

5. Agree to the Required and Expected Board Member Participation as listed below; and

6. Not be an employee of the Corporation; and

7. Not be a former employee who was dismissed by LPI in the last 6 years.

Member Candidate Qualifications

Board of Director candidates on the Member slate must:

1. Be an LPI Member in good standing; and

2. Have support (signatures) from at least five (5) other LPI Members in good standing; and

3. Otherwise meet the General Board Candidate Qualifications as detailed above.

Required and Expected Board Member Participation

As an elected representative of the members of LPI, the director actively participate in board activities, including but not limited to:

1. Board Meetings: Directors must be present at every 100% of the board meetings in a way that permits them to adequately communicate with each other during the meeting. Any absence must be communicated to and excused by the chair, preferably in advance. Failure to be excused for absences may qualify the Director for removal in accordance with the Board of Directors Seat Management Policy.

2. Email Lists: Votes may be conducted electronically by email. Directors must signify their assent, dissent, or abstention with respect to the matter at vote, within a period of at least 1 week, or within the time determined in the resolution email.

3. Engaging in Board Discussions: Directors must have active and respectful participation in the discussions brought to the board, either electronically or during meetings, providing their point of views, insights and expectations.

4. Board Committees: Directors should participate in the board committees to the best of their abilities.

5. Officers: Directors may nominate themselves for an officer position in the first meeting of the Board following an annual meeting of members, or when a position becomes vacant.

6. Contribute: Directors should act as spokespeople and do outreach for LPI. When possible, this may include participating in events as representatives of LPI.

Not every Director may be able to serve on a board committee or become an officer due to schedule or opportunity limitations, but all are expected to do as much as is reasonable within the given constraints.
